C.L.E.A.N.™ Training & Certification Agreement

This Training & Certification Agreement (“Agreement”) governs enrollment in and participation in all professional training, certification programs, workshops, and educational resources (“Programs”) offered by C.L.E.A.N. Tobacco Recovery System and Guzalia Davis (“Provider,” “We,” “Us”). Terms specific to the C.L.E.A.N.™ Tobacco & Nicotine Recovery Practitioner Certification appear in Schedule A, which forms part of this Agreement. If Schedule A conflicts with the numbered sections, Schedule A controls for that Program.

By enrolling in any C.L.E.A.N. training or certification program, you (“Student,” “Participant,” or “User”) agree to be legally bound by this Agreement. Checking the acceptance box at checkout, or accessing Program materials, is your electronic signature and agreement.

1. Program Purpose & Scope

C.L.E.A.N. programs provide professional education for trained hypnotherapists in tobacco and nicotine cessation, behavioral change, and hypnosis-informed interventions. Programs are designed for vocational and educational purposes only. They do not constitute medical, psychological, or addiction treatment training and do not authorize the practice of medicine, psychotherapy, or counseling.

Certification reflects successful completion of Provider’s internal training standards. It does not constitute government licensure, is not accredited by any government or accrediting body, is not a Tobacco Treatment Specialist or other clinical credential, and carries no continuing education credit unless stated in writing.

Participants are solely responsible for ensuring that their practice complies with the laws and licensing rules where they work.

2. Eligibility & Professional Readiness

Age Requirement: Participants must be at least eighteen (18) years of age.

Prerequisite Training: Participants must have completed formal hypnosis training before enrolling in advanced certification programs, and confirm this by enrolling.

Professional Responsibility: Participants acknowledge that certification requires ethical conduct, emotional maturity, and independent professional judgment.

Personal Readiness: Participants are responsible for assessing their own readiness to take part.

The Provider reserves the right to deny or end enrollment if participation presents a risk to a Participant, to others, or to program integrity.

3. Program Structure & Learning Format

Programs are competency-based.

Enrollment does not include individual therapy, personal coaching, or clinical supervision. Individual consultations are included only as described in Schedule A.

Access to Materials: Participants receive access to digital content, recorded sessions, manuals, and instructional resources through Podia platform. The release schedule and access duration are defined by the specific Program purchased (see Schedule A).

Support Scope: Support is limited to curriculum clarification, technical assistance (access, passwords, downloads), and any consultations described in Schedule A. Participants must initiate support requests by email: info@cleantobaccorecovery.com. Support does not include therapy, clinical case supervision, legal advice, or guarantees of business results. Provider aims to reply within 1 business day; response times are targets, not guarantees.

Updates: Provider may update, reorganize, or replace content and platforms. If a platform changes or ceases, Provider will use reasonable efforts to keep purchased materials accessible through the access period.

4. Certification Requirements

Certification requires:

• Completion of all assigned coursework and modules

• Passing the written certification exam

• Full payment of all fees

The Provider retains sole authority to determine certification eligibility and standards. Failure to meet requirements may result in denial or delay of certification without refund. Exam retakes and case-plan resubmissions are governed by Schedule A.

Certification does not expire, and no renewal fees apply. It may be revoked only as provided in Section 11.

5. No Professional License or Franchise Rights

Certification confirms completion of C.L.E.A.N. training standards only. It does not grant:

• Franchise rights

• Training authority

• Instructor status

• Licensing privileges

• Organizational representation rights

Participants are not authorized to train, certify, sublicense, or represent others on behalf of C.L.E.A.N., or to teach other practitioners to use C.L.E.A.N. methods.

6. Intellectual Property & Usage Rights

Ownership: All course content, frameworks, manuals, protocols, scripts, forms, recordings, and methodologies, and the C.L.E.A.N.™ name and marks, remain the exclusive intellectual property of the Provider.

License: Subject to this Agreement, Provider grants Participant a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Program materials and methods in the Participant’s own professional practice. This license continues after portal access ends, for as long as the Participant’s certification remains in good standing.

Permitted Use

Participants may:

• Apply learned techniques, and use the provided scripts, forms, and templates (adapting forms to their own practice), with their own clients

• Deliver individual sessions, group programs, workshops, and presentations (including prevention education) to clients, organizations, schools, clinics, workplaces, and community groups using the methods and Outreach Kit materials

• Use our scripts to produce commercial recordings.

• Buy copies of the Provider's published books listed in the Outreach Kit ("Published Books"), in any quantity, and resell them or give them away to clients, organizations, and the public as supportive resources or promotional materials, subject to the Published Books terms below.

Published Books

The Published Books are separate works sold through retailers and are not included in tuition.

Participants may:

· Buy genuine printed copies from the Provider's authorized retailers and resell or give those copies away.

· Attach a label or sticker with their own name, practice name, and contact information to a front or back cover, inside cover, or other area that does not hide the book's content.

Participants may not:

· Cover, remove, or alter the author's name, the title, the cover design, the copyright notice, the ISBN, or any text, and may not place a label where it hides any of these.

· Claim or imply that they wrote, co-wrote, or own a Published Book, or present it as their own work.

· Photocopy, scan, reprint, or digitally distribute a Published Book, in whole or in substantial part.

· Alter a book's content, for example by removing or replacing pages.

· Copyright in the Published Books remains with the author. Permission to add a contact label is limited to the use described here and may be withdrawn if certification is revoked.

Prohibited Use

Participants may not:

• Reproduce or distribute written materials, scripts, recordings, or portal content, in whole or in part, to anyone not enrolled

• Sell or share training content, or share portal login credentials

• Publish scripts verbatim

• Upload our recordings or demonstrations to public platforms

• Record, screen-capture, scrape, bulk-download, or use automated tools to copy portal content

• Train, or create derivative training programs, or offer “C.L.E.A.N.-based” certifications

Confidentiality of Demonstrations: Demonstration sessions and annotated materials may contain sensitive session content. Participants will keep them confidential and use them only for their own learning.

Attribution & Credential Use

Participants may state that they are “C.L.E.A.N.™ Certified Practitioners” while certification remains in good standing, and may describe their practice as specializing in tobacco and nicotine recovery. Participants may not use any title suggesting a medical or clinical credential; claim to be the founder, trainer, instructor, or representative of C.L.E.A.N.; or use the C.L.E.A.N.™ name or logo in a way that implies Provider endorses their services. Participants will follow the usage guidelines in the Practitioner Resources.

Misrepresentation of credentials is prohibited.

7. Professional Conduct & Ethics

Participants agree to maintain professional integrity. Prohibited conduct includes:

• Harassment or abuse

• Boundary violations

• Dishonesty

• Disruption of learning environments

• Misuse of authority with clients

• Misrepresentation of services

Practice Standards

Participants agree to:

• Comply with all laws, licensing and registration requirements, and scope-of-practice rules where they work, including rules on working with minors (such as parental consent) and with institutions

• Obtain informed consent from clients and explain the nature and limits of hypnotherapy

• Not diagnose any medical condition, and not advise clients to start, stop, or change medication or medical cessation treatment

• Refer to or coordinate with licensed health professionals when appropriate

• Not guarantee outcomes, quit rates, or permanent results to clients or in marketing

• Make no false or misleading claims about C.L.E.A.N., the Provider, or the Program, including income claims

Participants are solely responsible for their own practice and clients and are encouraged to carry professional liability insurance.

8. Communication & Technical Responsibility

Participants are responsible for maintaining functional access to email and learning platforms, and for keeping login credentials private. Access may not be shared.

The Provider is not responsible for missed lessons or materials due to user-side technical issues.

Email Delivery:

Participants are responsible for making sure they can receive email from the Provider and from the learning platform (Podia), including by checking spam folders and adding these senders to their contacts. The Provider will send support replies, and the platform will send login links, password resets, and module-release notices.

If a Participant blocks, filters, or unsubscribes from these emails, or provides an incorrect email address:

• Support: The Provider cannot respond to support requests and is not responsible for missed replies.

• Learning portal: The Participant may lose access to login links, password resets, and module notices, and the Provider is not responsible for the resulting loss of access.

The Provider is not required to contact Participants by other means, resend messages, or extend access or support periods because of blocked or undelivered email. Participants may correct their email settings or address at any time to restore delivery.

9. Financial Terms & Refund Policy

Digital Program Policy: All programs involve immediate access to proprietary digital materials. All sales are final. No refunds, exchanges, cancellations, or transfers are permitted, except where applicable law requires otherwise.

Immediate Access: By enrolling, you request immediate access to digital content and acknowledge that, to the extent permitted by law, you give up any right to cancel or withdraw once access begins.

Payment Plans: A payment plan is a way of paying the full tuition in installments, not a subscription or rental. Missed payments result in automatic suspension of access to further modules, consultations, and certification until the payment is made. Prior payments are non-refundable. Provider may cancel enrollment if a payment remains unpaid for fourteen (14) days; Participant remains responsible for the full tuition.

Certification Issuance: Certification is issued only after tuition is paid in full.

Payment Disputes: Participant agrees to contact Provider in good faith before disputing a charge. If Participant initiates a chargeback or payment dispute for a purchase made under this Agreement, Provider may suspend access, revoke certification, and provide this Agreement, acceptance records, and access logs to the payment processor.

10. Results Disclaimer

Research on hypnosis for tobacco and nicotine cessation is mixed. The Provider makes no guarantees regarding:

• Client outcomes

• Professional success

• Income generation

• Practice growth

• Personal results

Success depends on individual skill, ethics, and effort.

11. Termination & Revocation

The Provider may terminate enrollment or revoke certification for:

• Policy violations

• Ethical breaches

• Intellectual property misuse, including redistribution of materials

• Misrepresentation, including misuse of the certification title

• Harmful conduct

• Abuse of the payment dispute process

Termination results in loss of access without refund. A Participant whose certification is revoked must stop using the C.L.E.A.N.™ name and title and remove them from all marketing within 7 days.

12. Limitation of Liability & Indemnification

Programs are provided “as is.” To the fullest extent permitted by law, the Provider is not liable for any damages arising from application of training methods, and the Provider’s total liability for any claim related to a Program is limited to the amount the Participant paid for that Program. The Provider is not liable for indirect, incidental, or consequential damages.

Participants agree to indemnify and hold harmless the Provider from claims arising from their professional practice.

13. Modifications to Agreement

The Provider may update this Agreement. Revisions apply to future enrollments upon posting. For enrolled Participants, updates take effect upon notice by email or posting, and continued participation constitutes acceptance, except that a change that materially reduces purchased access or increases fees applies to an enrolled Participant only with the Participant’s agreement.

14. General Terms

Entire Agreement: This Agreement, including Schedule A, is the entire agreement between the parties regarding the Program.

Severability: If any provision is found unenforceable, the remaining provisions stay in effect.

No Waiver: Failure to enforce a provision is not a waiver of it.

Personal Enrollment: Enrollment, access, and certification are personal to the Participant and cannot be transferred or shared.

Survival: Sections 5, 6, 7, 9, 10, 11, 12, and 14 survive the end of enrollment or access.

15. Governing Law & Jurisdiction

This Agreement is governed by the laws of the United States and the Commonwealth of Pennsylvania. All disputes shall be resolved exclusively in courts located therein.

Schedule A

C.L.E.A.N.™ Tobacco & Nicotine Recovery Practitioner Certification: Program Terms

A1. Program Format

The Program is a 12-week guided online training. Lessons are released weekly in the learning portal on Podia platform; there are no scheduled live classes. Enrollment is open. The next cohort training begins January 1, 2027. A Participant who enrolls after January 1, 2027 begins Week 1 on the date of enrollment. Modules unlock in sequence.

A2. Tuition & Payment

Tuition is $1,297, payable in full or in 3 payments of $450

Participants who pay in full receive the same weekly release schedule. All sales are final (see Section 9).

A3. Portal Access & Technical Support

Learning portal access lasts one (1) year from the date of enrollment and covers all modules released to the Participant. Technical support for access, passwords, and downloads is provided during the access period. When portal access ends, certification remains valid and the license in Section 6 continues for as long as certification is in good standing.

A4. Email Support

Participants receive one (1) year of email support from the date of enrollment for questions about the training and the C.L.E.A.N.™ materials. Support is as described in Section 3.

A5. Private Sessions

Tuition includes two (2) private one-to-one sessions with Guzalia Davis, 45 minutes each, on Zoom:

• Session 1: Available immediately after enrollment.

• Session 2: Available after the written exam is completed.

Both sessions are available for up to 1 year after enrollment. Unused sessions lapse at the end of the booking window.

Scheduling: The sessions are optional and self-initiated by Participant. The sessions can be requested by email (info@cleantobaccorecovery.com).

Each session may be rescheduled once with at least 24 hours’ notice. A missed session or a cancellation with less than 24 hours’ notice is forfeited.

Sessions are educational consultations. They are not therapy, clinical supervision, or legal or financial advice, and they do not guarantee business results. Sessions are included in tuition but are not a requirement for certification.

A6. Certification Standard

Certification requires completing all 12 modules, passing the written exam, and submitting three case plans approved against Provider’s standard. One exam retake is included at no charge.

Upon certification, the Participant receives a C.L.E.A.N.™ Tobacco & Nicotine Recovery Practitioner Certificate with a unique ID that can be verified. Certification is permanent, with no renewal fees, subject to Section 11.

A7. Not a Clinical Credential

This Program is a specialty credential for trained hypnotherapists. It is not a medical license.

A8. Outreach Kit & Published Books

The Outreach Kit materials are licensed under Section 6. The Provider’s published books are separate works available for purchase from retailers and are not included in tuition.
